LeCroy Announces Proposed Public Offering of Common Stock

LeCroy Corp. is offering to sell shares of its common stock in an underwritten public offering. Needham & Company LLC and Stifel Nicolaus Weisel are the underwriters for the offering. The offering is expected to price on Thursday, November 4, 2010.

LeCroy intends to use the net proceeds from the offering to repay indebtedness and for general corporate purposes, including working capital.

The shares described above are being offered by LeCroy pursuant to a registration statement previously filed with and subsequently declared effective by the Securities and Exchange Commission (SEC). A preliminary prospectus supplement relating to the offering has also been filed with the SEC and is available on the SEC's website at www.sec.gov.
